MemePay Reward Terms & Conditions

INTRODUCTION
1.1. The MemePay Reward Scheme (“Scheme”) allows eligible users to earn points (“MemePay Points”) according to their spending with the MemePay Card. MemePay Points can be used to redeem tickets in order to participate in various types of campaigns (“Campaign”) to win prizes, subject to the rules of each individual campaign. Prizes may include, but are not limited to token airdrop, cashback, exclusive perks, or other promotional items.
PRIZES ARE NOT GUARANTEED FOR EACH PARTICIPATION IN A CAMPAIGN.
GENERAL
2.1. Your participation in this Scheme is governed by these Terms & Conditions, the MemePay Terms Of Use and any other terms and conditions specified by us from time to time. If any dispute arises in relation to the Scheme, our decision or the relevant partner or third party’s decision is final (if applicable).
2.2We reserve the right to change, suspend or discontinue all or any part of the Scheme and/or these Terms and Conditions at any time without prior notice or liability.
ELIGIBILITY
3.1. The Scheme is available to MemePay users who have a MemePay Card Account and MemePay Card(s) that is with Good Standing, therefore, the MemePay Card Account and/or the MemePay Card(s) have not been suspended, revoked, closed, cancelled, or terminated for any reason.
3.2 The Scheme is void where prohibited by law.
EARNING MEMEPAY POINTS
4.1. You will earn ONE MemePay Point for every qualified USD 1 or its equivalent value in other currencies spent with your MemePay Card. The applicable exchange rate for determining equivalent currency values shall be determined by us and is subject to change without prior notice. MemePay Points will also be distributed retroactively to MemePay Accounts with all qualified spendings made since October 30, 2024 (“Early Adopters”) to appreciate their support since the beta launch.
4.2. A spent does not count into qualified spent if:
it is unposted; or
it is a chargeback; or
it is posted but subsequently cancelled, reversed or refunded (including tax refund on purchases) in whole or in part; or
It is a top up; or
It is a cash withdrawal; or
It is a peer-to-peer transfer between MemePay users; or
It is a fees and charges by MemePay
4.3. The more you spend, the more MemePay Points you can earn. The amount of MemePay Points can earn is capped at 1,000 points per month per MemePay Card Account.
4.4. MemePay Points are non-transferable and cannot be sold, redeemed or exchanged for cash, money, or any other things with value.
4.5. There is no expiry date for MemePay Points earned.
4.6. MemePay Points will be calculated and refreshed daily and reflected in the user's account based on the accumulated card spending in the past 24-48 hours, and any spending refunds or chargebacks in the past 7 days.
4.7. The frequency of MemePay Points calculations, reconciliations, and the eligible spent categories are determined at our sole discretion and may change from time to time.
4.8. If your MemePay Card Account is suspended, revoked, closed, cancelled, or terminated for any reason, any MemePay Points in the account will be forfeited.
TICKET REDEMPTION AND PRIZE ANNOUNCEMENT
5.1. We will announce Campaigns from time to time. Users can use MemePay Points to redeem tickets in order to participate in various types of Campaigns to win prizes, and the amount of MemePay Points to redeem each ticket varies from Campaign to Campaign, and is subject to the rules of each Campaign.
5.2. There is no limit to the number of tickets a User can be redeemed by MemePay Points per Campaign. Once redeemed, MemePay Points will be deducted instantly from the User’s account. The redemption is irrevocable and the redeemed tickets are non-transferable.
5.3. Each Campaign will announce the prize results according to its schedule as shown as a timer on the website. Once a Campaign is completed and concluded, all participating tickets will be deemed as expired and cannot be reused or carried over to any other Campaigns. If a Campaign doesn’t meet certain requirements, such as the minimum participants, to conclude the prize results within the schedule, the Campaign will extend until the minimum requirement is met and prize results are concluded. Each User can only win one prize per Campaign. PRIZES ARE NOT GUARANTEED FOR EACH PARTICIPATING TICKET.
5.4. The type of prizes, corresponding calculations, minimum participants requirement, allocations, distributions and periods available for redemption vary from time to time, and from Campaign to Campaign. MemePay, any participating partners or any third parties involved in the development of the Campaign do not guarantee the type, format, value and the price of the prizes, before or after being deposited or transferred to you.
5.5. Prizes from our partners may be subject to the partner’s policy and terms and conditions as specified on the website separately.
5.6. You acknowledge and accept that you may not be able to receive your prize due to technical issues which are out of the control of MemePay, our partners or any third parties involved.
5.7. You may need to create a crypto wallet within the Website in order to receive a certain prize in the form of a token. Token prizes will be distributed to the user's corresponding crypto wallet within 24 hours after the conclusion of the Campaign. It is your responsibility to maintain the safety of your crypto wallet.
5.8. By participating in our Campaigns, you acknowledge and agree that we reserve the right to deduct any applicable transaction fees, gas fees, or other processing fees from the prize before transferring it to you. Additionally, you are solely responsible for any transaction fees, gas fees, or other associated fees required to claim certain prizes from us or our Partners. We are not liable for any additional charges incurred during the transfer or redemption process.
6. TAXES AND REGULATORY COMPLIANCE
6.1 Tax treatment of redeemed prizes may be uncertain, and it is your responsibility to determine what taxes, if any, arise from all transactions with your redeemed prizes. You are solely responsible for reporting and paying all taxes arising from or related to your redeemed prizes.
7. SCHEME CHANGES AND TERMINATION
7.1. We reserve the right to modify, suspend, or terminate the Scheme from time to time without prior notice.
7.2. If the Scheme is terminated, any remaining MemePay Points may be forfeited at our discretion.
8. FRAUD AND ABUSE
8.1. Any abuse, misuse, or fraud related to the Scheme may result in the forfeiture of the MemePay Points or redeemed prizes, and potential termination of your MemePay Card account and Cards.
8.2. We reserve the right to investigate suspected fraudulent activity and take appropriate legal action.
9. INDEMNIFICATION
9.1. You shall defend, indemnify, and hold harmless us and our affiliates, partners, third-party service providers, directors, officers, employees, contractors and suppliers from and against any loss, damage, liability, claim, cost or expense of any kind, including reasonable attorneys’ fees, that arise from your misuse of the Scheme, violation of these Scheme Terms, infringement of any intellectual property, and/or violation of any applicable law or the rights of any third party.
10. LIMITATIONS ON LIABILITY
10.1. We are not liable for any losses or damages resulting from the use, transfer, or devaluation of the redeemed prizes.
10.2. We are not responsible for any errors, delays, or technical failures of the prizes from our partners or any third Parties.
11. GOVERNING LAW
11.1. These Terms shall be governed by and construed in accordance with the Hong Kong laws. Any disputes shall be resolved in the courts of Hong Kong.
